Terms of Service

These terms cover your use of HALZAT. They are written to be read, not to be survived. If something here is unclear, ask us before you agree to it.
1. Who this is between
“HALZAT”, “we” and “us” mean Halzat Logistic Technology Inc, a Delaware corporation. “You” means the company that opened the account, and anyone using the account on its behalf. If you are agreeing on behalf of a company, you are confirming that you are allowed to.
2. What the service is
HALZAT is software for quoting, booking, dispatching, tracking and settling freight. It includes optional integrations with carriers and with your own email account.
We are software, not the carrier. HALZAT does not move freight. When HALZAT is also acting as your freight broker, that arrangement is a separate written agreement with its own terms; these terms cover the software.
3. Your account
- Keep your credentials to yourself, and tell us promptly if they are compromised.
- You are responsible for what happens under your account, including what the people you invite do with it.
- You must have the right to the data you put into HALZAT, including the right to connect any mailbox you connect.
4. Rates, quotes and bookings
Rates shown in HALZAT come from carrier systems and from rate tables you or we configure. Carriers reprice, reclassify and add accessorial charges after pickup. A quote in HALZAT is an estimate based on the information given at the time, not a guaranteed final price, and a carrier’s own invoice governs what is ultimately owed.
Where HALZAT automates an action — extracting a quote request from an email, drafting a booking, sending a document — you remain responsible for what is sent under your name. Review before you send anything that matters.
5. Connected email
If you connect a mailbox, you authorise HALZAT to read it in order to find freight requests, and to send messages from it on your instruction. What we access, why, and how to revoke it is set out in the Privacy Policy, which is part of these terms. You can disconnect at any time.
6. Fees
Fees are whatever your order form or plan says. Unless that document says otherwise, fees are billed in advance, are non-refundable for a period already served, and are exclusive of tax. If an invoice goes unpaid we may suspend the account after telling you first.
7. Your data
Your data is yours. We do not sell it, and we do not use it to train generalized AI models. We process it to run the service, as described in the Privacy Policy. You can export it, and you can ask us to delete it when you leave.
8. Acceptable use
Do not use HALZAT to:
- break the law, or move freight you are not authorised to move;
- send deceptive, fraudulent or unsolicited bulk email from a connected mailbox;
- upload malware, or attempt to reach another tenant’s data;
- resell or white-label the service without a written agreement that says you may;
- scrape, load-test or reverse engineer the service without our written permission.
9. Availability
We work to keep HALZAT running and we depend on third parties — carriers, hosting, model providers — who occasionally do not. Unless a separate agreement gives you a service level, the service is provided as it is, without a warranty of uninterrupted or error-free operation.
10. Liability
To the extent the law allows, neither side is liable to the other for indirect, incidental or consequential damages, or for lost profits. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose.
Nothing here limits liability for fraud, willful misconduct, or anything else that cannot be limited by law.
11. Ending it
You can stop using HALZAT at any time. We can suspend or end an account that breaches these terms, or that puts the service or other customers at risk, and we will tell you why. On termination we will make your data available for export for 30 days.
12. Changes
We may update these terms. If a change materially affects you we will tell account holders before it takes effect. Continuing to use the service after that is acceptance.
13. Law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.
